WASHINGTON, Feb. 9, 2015 /PRNewswire/ — Today, Cogent Communications Holdings, Inc. (“Cogent Communications”) announced that Cogent Communications Group, Inc. (“Cogent”), a wholly owned subsidiary of Cogent Communications, intends to commence an offering of $245 million of senior secured notes due 2022 (the “Notes”) to be offered and sold only to qualified institutional buyers in an unregistered offering pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Act”), and to certain non-U.S. persons in transactions outside the United States in reliance on Regulation S under the Act. The Notes will be guaranteed by Cogent’s domestic subsidiaries, subject to certain exceptions, and the Notes are expected to be guaranteed by Cogent Communications on the closing date of the offering of the Notes. Cogent Communications’ guarantee will be unsecured and Cogent Communications will not be subject to the covenants under the indenture governing the Notes. If the offering is consummated, Cogent expects to use the proceeds from the offering, plus cash on hand, to finance the redemption of $240.0 million in aggregate principal amount of its 8.375% Senior Secured Notes due 2018 (the “Existing Secured Notes”). There can be no assurance that the issuance and sale of the Notes will be consummated, and the redemption of the Existing Secured Notes will be conditioned upon the closing of the offering of the Notes.
