Zayo Group Holdings, Inc. Commences Follow-On Public Offering of Common Stock

BOULDER, Colo.–(BUSINESS WIRE)–Zayo Group Holdings, Inc. (the “Company”) announced today the launch of a follow-on public offering of 16,000,000 shares of its common stock, par value $0.001 per share. The Company is offering 4,000,000 shares of common stock and selling stockholders are offering 12,000,000 shares of common stock. The underwriters have the option to purchase from the selling stockholders up to an additional 2,400,000 shares of common stock. The Company intends to use the net proceeds of the offering for general corporate purposes, which may include acquisitions, working capital, capital expenditures and repayment of indebtedness.

Goldman, Sachs & Co., Barclays and Morgan Stanley will act as lead joint book-running managers and representatives of the underwriters for the offering. RBC Capital Markets, J.P. Morgan, Citigroup and SunTrust Robinson Humphrey will also act as joint book-running managers for the offering.
