(BUSINESS WIRE), December 09, 2013 – Sprint Corporation (NYSE:S, news, filings) announced today that it plans to offer, subject to market and other conditions, notes due 2024 (the “Notes”) guaranteed by Sprint Communications, Inc. in a private transaction that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Act”).
The company intends to use the net proceeds from the offering of the Notes for general corporate purposes, which may include, among other things, retirement or service requirements of outstanding debt and network expansion and modernization.
The Notes and the guarantee have not been registered under the Act or the securities laws of any other place and may not be offered or sold in the United States absent registration or an applicable exemption therefrom. The Notes will be offered only to qualified institutional buyers under Rule 144A and to persons outside the United States under Regulation S.
