SAN FRANCISCO, June 26, 2012 /PRNewswire/ — Digital Realty Trust, Inc. (the “Company” or “Digital Realty”) (NYSE:DLR, news, filings) today announced the pricing of a public offering of 10,000,000 shares of its common stock at a price of $72.25 per share, for net proceeds of approximately $692.8 million after underwriting discounts and commissions and estimated offering expenses (or approximately $796.8 million if the underwriters’ option to purchase additional shares is exercised in full). Digital Realty has granted the underwriters the option to purchase up to an additional 1,500,000 shares of common stock. The offering is expected to close on or about July 2, 2012. The offering is being made pursuant to an effective shelf registration statement, prospectus and related preliminary prospectus supplement filed by the Company with the Securities and Exchange Commission.
Digital Realty intends to contribute the net proceeds from this offering to its operating partnership, Digital Realty Trust, L.P., which intends to use the net proceeds from the offering to fund a portion of the purchase price for the acquisition of a three-property data center portfolio located in the greater London area, referred to as the Sentrum Portfolio, or to temporarily repay borrowings under its global revolving credit facility, to acquire additional properties, to fund development and redevelopment opportunities, for general working capital purposes, including potentially for the repurchase, redemption or retirement of outstanding debt or preferred securities, or a combination of the foregoing.
