M. CATHERINE MORRIS JOINS ZAYO’S BOARD OF DIRECTORS

Arrow Electronics executive to provide strategic and financial expertise

BOULDER, Colo. – November 10, 2016 – Zayo Group Holdings, Inc. (NYSE: ZAYO) today announced that M. Catherine (Cathy) Morris was elected to the company’s Board of Directors, effective immediately. Morris will serve on the audit and compensation committees of the board.

“Cathy is an accomplished business leader, with an impressive record of leadership in a large global organization,” said Dan Caruso, chairman and CEO at Zayo. “Her expertise in strategy, M&A and finance will be extremely valuable as we continue to execute our plan for global growth.”

Morris is the chief strategy officer of Arrow Electronics, leading its strategic initiatives, including global merger and acquisition activity. During her 20-year tenure at Arrow, she has held progressively senior roles in computing solutions, finance and corporate development. She joined Arrow in 1994 through its acquisition of Anthem Electronics, where she was vice president of finance and corporate controller. Prior to Arrow, Morris held various financial leadership roles in the banking and manufacturing industries.

Morris has been recognized by the National Diversity Council as one of the Top 50 Most Powerful Women in Technology (2014, 2015), as a Woman to Watch in Diversity Magazine, and as one of the 50 Most Powerful Women in Technology by Channel Reseller News. She is a member of the Global Leadership Council at Colorado State University and the YWCA’s Society of Women Achievers. Morris received her bachelor’s degree in finance from Colorado State University and completed Harvard Business School’s General Management Program.
