ZAYO APPOINTS GENERAL COUNSEL AND CTO

Wendy Cassity joins Zayo as general counsel and Dave Jones assumes CTO role

BOULDER, Colo. – February 22, 2016 – Zayo Group Holdings, Inc. (NYSE: ZAYO), the global leader in Communications Infrastructure, has namedWendy Cassity as general counsel and Dave Jones as chief technology officer (CTO). Cassity succeeds Scott Beer, who left the company in late 2015.

As general counsel, Cassity is responsible for Zayo’s legal and compliance functions including mergers and acquisitions, capital markets and financing transactions, regulatory compliance, corporate governance and crisis and risk management. “I joined Zayo because its mission is to accelerate the capabilities of the most innovative companies in the world by providing them with vast quantities of low cost bandwidth. Zayo is making a difference, and I wanted to be part of the team,” said Cassity.

Before joining Zayo, Cassity was vice president and general counsel of Thompson Creek Metals Company, a publicly-traded mining company, and in private practice at McDermott Will & Emery LLP and Cravath, Swaine & Moore LLP in New York, primarily focused on M&A and securities.

As chief technology officer, Jones is responsible for the overall technical direction of the company and for working with Zayo’s various product groups to execute on that direction. He is also responsible for cyber security and the enterprise IT infrastructure, ensuring compliance with regulatory requirements and industry standards. “I’m very excited about working with our internal teams and external partners to ensure that Zayo continues to provide innovative solutions that meet the rapidly evolving requirements of our customers,” he said.

Jones has more than 25 years of experience in the wireless and broadband industries. He previously served as executive president of Zayo’s Dark Fiber Solutions business segment and as senior vice president of Zayo’s Mobile Infrastructure product group. Prior to joining Zayo, Jones was senior vice president of Network Services at FiberTower Corporation. He has also held senior management and technical positions with Formus Communications Europe, Sprint PCS, US WEST and the National Telecommunications and Information Administration (NTIA).
